Terms of Service

These terms govern your use of TP Benchmark, a transfer-pricing comparable-validation service operated by Qualisync (“we”, “us”). By creating an account or using the service, you agree to these terms on behalf of yourself and the organization you represent.

The service

TP Benchmark helps you validate candidate comparable companies: it discovers each company’s website, analyzes its business against your tested party using AI, and produces an ACCEPT, REJECT, or REVIEW decision with supporting evidence, which you can export. TP Benchmark validates a candidate list you provide (for example an Orbis export); it does not provide that list or perform the underlying database screening.

Accounts and organizations

The service is for business use. You are responsible for your account credentials, for the members you add to your organization and their roles, and for all activity under your organization. Keep your credentials secure and tell us promptly of any unauthorized use.

Tokens, pricing, and billing

• Usage is metered in tokens: one token analyzes one company, priced at €0.50 per token, with a minimum purchase of 150 tokens.
• Tokens are reserved when you create a study and are charged at the final-review gate. If you accept the report, the full reservation is charged. If you reject it, only 35% is charged and the remaining 65% is refunded.
• Companies that cannot be analyzed due to an internal error are refunded, and a study cancelled before the final-review gate refunds the unused remainder.
• Payments and invoicing are handled by Stripe; we collect a billing address and VAT id for B2B invoicing. Taxes are added where applicable.
• We may change pricing on reasonable notice; changes do not affect tokens you have already purchased.

Your content and data

You retain all rights to the data you upload (such as Orbis exports and transfer-pricing documents) and to the results produced for you. You grant us the limited rights needed to process that data to provide the service. You confirm you are entitled to upload and process the data you submit. How we handle personal data is described in our Privacy Policy.

Intellectual property and trademarks

The service, including its software, interface, and content, is owned by Qualisync and protected by intellectual-property laws. “TP Benchmark” is a trademark of Qualisync, which operates this service; you may not use our name, logo, or branding without our prior written permission. We grant you a limited, non-exclusive, non-transferable right to use the service under these terms, and reserve all rights not expressly granted.

AI output and professional responsibility

TP Benchmark is a decision-support tool. Its analysis, confidence scores, and ACCEPT / REJECT / REVIEW outputs are not legal, tax, accounting, or other professional advice, and may contain errors or omissions. You remain responsible for reviewing the outputs, applying professional judgment, and for any transfer-pricing position, comparable set, or filing you adopt. The human-approval steps in the product exist for this reason: the tool assists your judgment, it does not replace it.

Acceptable use

You agree not to: use the service unlawfully or to infringe others’ rights; upload data you are not entitled to process; attempt to reverse engineer, disrupt, or gain unauthorized access to the service; or use it to build a competing product.

Availability and changes

The service is provided on an “as is” and “as available” basis. We work to keep it reliable but do not guarantee uninterrupted availability, and we may add, change, or remove features over time.

Disclaimers and limitation of liability

To the maximum extent permitted by law, we disclaim implied warranties, and we are not liable for indirect, incidental, or consequential losses, or for loss of profits, data, or goodwill. Our total liability arising from the service is limited to the fees you paid to us in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.

Suspension and termination

You may stop using the service at any time. We may suspend or terminate access if these terms are breached or to protect the service or other users. On termination, the data-retention periods in our Privacy Policy apply.

Changes to these terms

We may update these terms from time to time and will revise the “last updated” date above. Continued use after a change means you accept the updated terms.

Governing law and contact

These terms are governed by the laws applicable at Qualisync’s place of establishment, without regard to conflict-of-laws rules. Questions about these terms can be sent to privacy@qualisync.com.
